Ground.com™ Terms and User Agreement § 1. Ground.com™ Thank you for using Ground.com™. Ground.com™ is a global online marketplace for sellers who desire to advertise their inventories of new, used and refurnished ground support equipment and other airport supplies to potential buyers. The technical platform and all assets – tangible and intangible – of Ground.com™ are owned and operated by AVIATION MEDIA & IT GMBH (hereafter: “Ground.com™” or “we”, “us”, “our”). § 2. Content By listing inventory on Ground.com™ you advertise to a broad audience. You are responsible for the accuracy, completeness and legal compliance of your inventory and advertisement information and maintaining a status compliant to these provisions. When you upload content to Ground.com™ you grant us the perpetual royalty-free but non-exclusive right to exercise intellectual property rights you hold in the content including but not limited to copyrights. This applies worldwide for any media. As advertisements on Ground.com™ are likely to contain copyright protected media including but not limited to images and text documents you agree not to remove content from Ground.com™. Ground.com™ is a service meant to facilitate business in the worldwide Ground Support Equipment and airport supplying industry. Still, our service is limited to cater for the advertisement needs of this industry providing the technical infrastructure of an online marketplace. We are not nor will we become a legal party or participate in any contractual or pre-contractual relationship that may arise between you and another user of Ground.com™. We are not liable for any violation of contractual and non-contractual obligations in disputes between you and others. Though we maintain our database duly we cannot guarantee the accuracy of inventory and advertisement information. We do not govern and do not guarantee quality or availability of goods advertised on Ground.com™ and the completion of transactions initiated on Ground.com™ to the mutual satisfaction of buyer and seller. Therefore, we are not to held liable and take no responsibility for the accuracy of inventory and advertisement information and the completion of contracts initiated on Ground.com™. We cannot guarantee continuous or secure access the content hosted on Ground.com™. To the extent legally permitted, we exclude all implied warranties. All legal disputes arising between you and us that concern content shall be governed by German and common EU law and German jurisdiction only. Regardless of the previous provisions, if we are found liable in a dispute that concerns content our liability shall be limited to a maximum of 1.000,00 EUR for each case giving rise to liability. § 3 Advertising Contract Ground.com™ is an advertising venue. Our service is provided “as is” and “as described” on the website. By listing and maintaining inventory on Ground.com™ a contractual relationship is formed that requires us to display your inventory “as delivered” and that requires you to pay our current advertising fees on recurring monthly billing and abide by the provisions of this agreement. The current fees for listing inventory on Ground.com™ are provided in our price list. The fees represent net prices and may be subject to German VAT of currently 19 %. The recurring fees include all charges for first time listing and administration of the listed inventory. Except for our advertising services we do not charge any fees for access to and use of Ground.com™. Ground.com™ does not cater to consumer markets and will contract with business customers only. The contractual relationship can be terminated by either party any time during a month with effect for the end of the following month without providing reason. The mutual right of termination without notice for good cause will remain unaffected. If you default under the provisions governing the contractual agreement we can suspend any or all of your inventory listings from Ground.com™, terminate your account and claim reimbursement for any cost and damages, including but not limited to interests. Immediate and uninterrupted access to Ground.com™ or your inventory listings is not guaranteed. We reserve the right to update and modify the website design and structure at our sole discretion. § 4 Release and Indemnity You agree to release us from any claims or damages arising from or connected with past, current or future legal disputes between you with other users of Ground.com™. You agree to indemnify and hold us and our directors, officers, staff members and joint ventures harmless from any damages, cost (including reasonable attorneys` and legal fees), liability, charges, penalties or claims brought against us by any third party arising as a consequence of your breach of your contractual obligations or failure to comply with the terms of this terms and user agreement or applicable laws. § 5 Limitation of Liability Neither we nor our directors, officers, staff members and joint ventures will be liable for any damages arising as a consequence of the use of Ground.com™ or in reliance of the accuracy of information provided on Ground.com™ including but not limited to lost profits and revenues or the loss of data. § 6 rivacy Statement We take user and business privacy seriously. Please refer to our Privacy Policy for use and administration of information or data shared with Ground.com™. § 7 Governing Law and Jurisdiction This terms and user agreement and any legal dispute arising between you and us is governed in all respects by the laws of the Federal Republic of Germany and applicable EU statutes only. You agree to have any legal claim against us resolved by the local jurisdiction at our registered office and to submit personal jurisdiction for any litigation to these courts. In cases with claims of less than 5.001 EUR, the party requesting compensation may elect to have the dispute resolved initiating arbitration through an established arbitration services provider. § 8 Legal Information and Dispute Policies Ground.com™ is a service of AVIATION MEDIA & IT GMBH, Schwabachstr. 1, 91077 Neunkirchen am Brand, Germany The legal entity is represented by Mr Andreas Gall and Dennis Dahlenburg as its managing directors. We reserve the right to change our terms and user agreement any time with non-material changes becoming effective immediately and material changes becoming effective by consent of user. Changes will be indicated by email message or notification on our website. Listing Fees

For a flat 50,00 USD per month (plus VAT, if applicable) your company may add unlimited item listings to the marketplace. Monthly termination is available. There are no fees associated with browsing the Ground.com marketplace as a buyer.
